These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and online services operated by America’s Supply Chains® (“ASC,” “we,” “us,” or “our”), including product listings, marketplace tools, and purchases made through our checkout (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
“Customer,” “you,” “your” means any person who accesses or uses the Services, including purchasers.
“Vendor” means an independent third-party seller who lists and/or sells products through the Services.
“Vendor Product” means a product listed or sold by a Vendor.
“ASC Product” means a product explicitly identified on the product page (or at checkout) as “Sold by America’s Supply Chains®” or equivalent.
“Listing” means any product page or offer displayed on the Services.
“Order” means a request to purchase products through the Services.
“Policies” means ASC’s posted policies referenced in these Terms (including the Shipping Policy and any Returns/Dispute policy), as updated from time to time.
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to place an Order. By using the Services, you represent and warrant that you meet these requirements.
We may update the Services, these Terms, and/or Policies at any time. Changes become effective when posted. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
If you create an account, you agree to:
Provide accurate, current, and complete information;
Maintain the confidentiality of your login credentials; and
Notify us promptly of unauthorized access or suspected security issues.
You are responsible for activity under your account.
Quality & Authenticity; Roles and Responsibilities
This section explains how the America’s Supply Chains® marketplace works, the role of independent Vendors, and what to do if you have concerns about a product’s quality or authenticity.
ASC operates an online marketplace that allows independent Vendors to list and sell products to Customers.
Unless explicitly stated otherwise on a product page or at checkout, ASC is not the seller or manufacturer of Vendor Products. Vendors are independent parties and are not ASC employees, partners, or agents.
Vendors are solely responsible for their products and Listings, including:
Product condition, quality, safety, and suitability;
Accuracy of descriptions, photos, specifications, and other Listing content;
Brand, origin, and authenticity claims;
Compliance with applicable laws and regulations (including labeling, consumer protection, and intellectual property rules);
Fulfillment obligations (packing, shipment, delivery performance, and customer service to the extent Vendor-controlled).
ASC may provide tools and Policies intended to promote marketplace integrity. However:
ASC does not independently verify the quality, authenticity, origin, or brand genuineness of Vendor Products.
ASC does not provide manufacturer warranties for Vendor Products unless explicitly stated in writing for a specific item.
To the maximum extent permitted by applicable law, ASC makes no representations or warranties regarding Vendor-provided content or Vendor Products, including their accuracy, completeness, reliability, quality, or authenticity.
If you believe a product may be counterfeit, materially different from its description, defective, unsafe, or otherwise problematic, you should:
Contact the Vendor through your order page (recommended first step, when available).
Report the Listing to ASC by contacting support@usagents.org and providing the information below.
Contact ASC Support for assistance in accordance with our Policies.
Reporting Tip: include your order number, screenshots (product page and messages), and photos of the item/packaging (if available).
Your available remedies depend on:
the Vendor’s return terms shown on the product page, at checkout, or in order communications; and
ASC’s posted returns and dispute procedures (if any) that apply to marketplace transactions.
ASC may facilitate communications and policy-based resolutions, but Vendors remain responsible for fulfilling their obligations regarding the products they sell, subject to mandatory consumer protection laws.
Nothing in this Section 5 limits any rights you may have under non-waivable consumer protection laws that apply in your jurisdiction.
Listings may contain descriptions, images, specifications, availability statements, compatibility notes, or other content supplied by Vendors and/or third parties. While we aim to present information clearly, we do not guarantee that Listing content is complete, current, or error-free.
If you rely on a Listing for a specific requirement (compatibility, certification, dimensions, ingredients, etc.), you are responsible for verifying it prior to purchase.
An Order is an offer to purchase. We (and/or the applicable Vendor) may accept, reject, cancel, or limit Orders at discretion, including for suspected fraud, pricing or inventory errors, compliance concerns, or operational issues.
If a product is listed at an incorrect price due to an error, the Order may be canceled and amounts paid will be refunded in accordance with applicable Policies and law.
Payments are processed by third-party payment providers. By placing an Order, you authorize charges to your payment method for the total amount shown at checkout (including shipping, taxes, and any disclosed fees).
Shipping terms are governed by the Shipping Policy, which is incorporated by reference.
Delivery dates are estimates, not guarantees. Delays may occur due to carrier issues, weather, customs processing, address errors, or other events outside of ASC’s control.
For Vendor Products, unless otherwise required by applicable law, risk of loss transfers to you when the Vendor tenders the package to the carrier.
For ASC Products, unless otherwise required by applicable law, risk of loss transfers to you when ASC tenders the package to the carrier.
Consumer-law override: If applicable law requires that risk of loss remains with the seller until delivery to you (or another point), then that legal rule controls.
Returns and refunds are governed by the Vendor’s disclosed terms (if applicable) and any ASC Policies posted for returns and dispute resolution.
If you believe there is an issue with an Order, please contact support@usagents.org first so we can attempt to resolve the issue under our Policies. This does not limit any rights you may have with your card issuer; however, fraudulent, abusive, or bad-faith chargebacks may result in account restrictions and collection of amounts legally owed.
You are responsible for all applicable taxes and fees imposed by governmental authorities, including sales/use tax where applicable and any customs duties, tariffs, import taxes, brokerage fees, or related charges for international Orders, unless explicitly stated otherwise at checkout.
You agree not to:
Use the Services for unlawful purposes or in violation of sanctions/export controls;
Commit fraud, abuse promotions, manipulate reviews, or misrepresent identity;
Interfere with the Services, including scraping, automated abuse, bypassing security, or introducing malware.
Certain items may be restricted by destination laws, carrier rules, or regulatory limitations (including hazardous materials, perishable goods, restricted medical products, or controlled items). Orders may be canceled or restricted where compliance requires.
The Services and all related content (text, graphics, logos, UI, software, and design) are owned by ASC or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any portion of the Services without prior written consent.
If you submit content (e.g., reviews), you represent that it is accurate, not deceptive, and does not infringe third-party rights. You grant ASC a worldwide, non-exclusive, royalty-free license to host, use, reproduce, display, and distribute your content only as reasonably necessary to operate, improve, and promote the Services, subject to applicable law. We may remove content that violates Policies or law.
If you believe a Listing infringes your trademark, copyright, or other IP rights, you may report it by contacting support@usagents.org with:
Identification of the IP right and proof of ownership;
The specific Listing URL(s) and details;
A good-faith statement that the use is unauthorized; and
Your contact information for follow-up.
ASC may forward your complaint to the Vendor and take actions consistent with our Policies and law.
The Services may link to third-party websites or tools. ASC does not control and is not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.
To the maximum extent permitted by law, the Services and all content provided through the Services are provided “AS IS” and “AS AVAILABLE.” ASC disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Consumer-law savings clause: Some jurisdictions do not allow certain warranty disclaimers. In such jurisdictions, disclaimers apply only to the fullest extent permitted by law.
To the maximum extent permitted by law:
ASC will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, arising out of or related to your use of the Services or any Order.
ASC’s total liability for any claim will not exceed the greater of (a) the amount you paid to ASC for the Order giving rise to the claim or (b) USD $100.
Required legal carve-outs: This Section does not apply to the extent prohibited by law, and it does not limit liability where limitation is not permitted (for example, certain jurisdictions restrict limitations for personal injury, fraud, or willful misconduct).
You agree to defend, indemnify, and hold harmless ASC and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from:
Your breach of these Terms;
Your misuse of the Services; or
Your violation of law or third-party rights.
ASC may suspend or terminate access to the Services (and/or cancel Orders) if we reasonably believe you have violated these Terms, engaged in fraud or abuse, created security/compliance risks, or interfered with marketplace integrity. Where feasible, we may provide notice; however, immediate action may be taken for security, fraud, or compliance reasons.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where prohibited by applicable consumer protection law.
Unless applicable law requires otherwise, disputes arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Texas, and you consent to personal jurisdiction and venue in those courts.
Consumer-law override: If your jurisdiction requires a different forum or grants non-waivable rights regarding dispute location or process, those rules control.
You agree that communications relating to the Services may be provided electronically (e.g., email, posting within your account, or site notices). Notices to ASC should be sent to support@usagents.org.
If any provision is unenforceable, the remainder remains in effect.
Failure to enforce a provision is not a waiver.
You may not assign these Terms without our written consent; ASC may assign them in connection with a merger, acquisition, or asset transfer.
These Terms, together with incorporated Policies, form the entire agreement between you and ASC regarding the Services.
